Welcome to the White and Sons Custom Wood Creations Affiliate Program! The following White and Sons Custom Wood Creations Affiliate Program Terms and Conditions (these “Terms”) are entered into by you (“you” or “your”), and White and Sons Custom Wood Creations (“White and Sons”). These Terms govern your participation in the affiliate program on behalf of White and Sons Custom Wood Creations (the “Affiliate Program”). If you do not agree to be bound by these Terms, then you may not participate in the Affiliate Program.
In addition to these Terms, the Affiliate Program is also governed by other applicable terms and conditions, including the Terms & Conditions and any other documents and policies referred to in the Terms & Conditions. For the avoidance of doubt, all of the terms and conditions of the Terms & Conditions will apply to these Terms. To the extent that these Terms conflict with the Terms & Conditions, these Terms will apply and control. All capitalized terms used and not otherwise defined in these Terms will have the meanings ascribed to them in the Terms & Conditions.
Purpose. These Terms establish you as a marketing affiliate in the White and Sons Custom Wood Creations Affiliate Program with the non-exclusive right to connect your customers, users, and partners (collectively, the “Users”) to, or otherwise market, White and Sons Custom Wood Creations’ products in order to create transactions/sales, in exchange for which, you shall receive a portion of the proceeds from such transactions/sales.
Marketing. You may share your White and Sons Custom Wood Creations discount link with Users; provided, however, that all marketing and other activities related to White and Sons Custom Wood Creations will be in strict accordance with all applicable laws, these Terms, the specifications and instructions outlined in Exhibit A to these Terms, and any other written policies or guidance provided to you by White and Sons Custom Wood Creations. E-mails making reference to White and Sons Custom Wood Creations, that include discount links, or that concern any other aspect of this marketing affiliate relationship, may be sent only to Users who have elected to receive such e-mails.
Transaction Processing. White and Sons Custom Wood Creations will process transactions placed by Users who use your discount link. White and Sons Custom Wood Creations reserves the right to reject transactions placed by Users that do not comply with any reasonable requirements that White and Sons Custom Wood Creations may periodically establish, subject to their reasonable discretion. White and Sons Custom Wood Creations will be responsible for all aspects of transactions processing and fulfillment, including order forms, payments, cancellations, and customer service.
Qualified Transactions. White and Sons Custom Wood Creations will pay you applicable commissions for purchases of their products by Users in Qualified Transactions. A “Qualified Transaction” means a User’s transaction whereby the User uses the provided discount link to purchase White and Sons Custom Wood Creations’ products. White and Sons Custom Wood Creations will not pay any commission for products or services purchased in transactions not initiated through your discount link.
Policies and Pricing. Users who make transactions with White and Sons Custom Wood Creations will be subject to their rules, policies, and operating procedures concerning customer orders, customer service, and product and services sales. Prices and availability may vary, and you may not display White and Sons Custom Wood Creations’ price information on your website or emails without their consent.
License. White and Sons Custom Wood Creations hereby grants you a limited, non-exclusive license to use and display their content and materials for the purpose of marketing their products in accordance with the terms and conditions of these Terms. You also grant White and Sons Custom Wood Creations a license to use your information for legitimate business purposes.
Ownership. All rights and interests in White and Sons Custom Wood Creations’ products and related content remain with them. You shall not disclose non-public, confidential, or proprietary information regarding White and Sons Custom Wood Creations.
Indemnity. You will defend and hold White and Sons Custom Wood Creations and their affiliates harmless from any claims, damages, losses, and expenses arising from your actions in connection with the Affiliate Program.
Relationship of the Parties. The parties are independent contractors, and no partnership, joint venture, or employment relationship is created.
No Exclusivity. Either party may provide services to other parties similar to those under these Terms.
Termination. White and Sons Custom Wood Creations may amend or discontinue the Affiliate Program at any time without notice. They may also audit your Affiliate Program account.
By agreeing to these terms and conditions upon account creation, you become a participant in the White and Sons Custom Wood Creations Affiliate Program.
If you are under the age of majority where you reside, the parent or legal guardian signing (“Guardian”) agrees to these terms and conditions and has the right to do so on your behalf. The Guardian indemnifies and defends White and Sons Custom Wood Creations for any claims related to their lack of legal authority to sign this Agreement on your behalf.
EXHIBIT A
Without limiting anything in these Terms, all posts and all promotional messages, photos, or other communications made on social media platforms about White and Sons Custom Wood Creations and its products or services (collectively, “Posts”), must meet the following requirements:
You and all of the Posts must comply with the Federal Trade Commission’s (the “FTC”) Guides Concerning Endorsements and Testimonials (the “Endorsement Guides”) described in this Section 1 of this Exhibit A and White and Sons Custom Wood Creations’ social media endorsement policies in effect from time to time. You will, if requested by White and Sons Custom Wood Creations, participate in training designed to ensure compliance with the Endorsement Guides and White and Sons Custom Wood Creations’ policies.
Without limiting the foregoing, with respect to promotional messages, photos, or other communications made on social media platforms about White and Sons Custom Wood Creations and its products or services, including all Posts, you will adhere to the following standards:
You will comply with the Federal Trade Commission’s (the “FTC”) Guides Concerning Endorsements and Testimonials, including making statements that reflect honest beliefs, opinions, and experiences, and providing clear and conspicuous disclosure about any connection to White and Sons Custom Wood Creations in all Posts.
You will review:

You will not make deceptive or misleading claims about White and Sons Custom Wood Creations’ products or services, or their competitors’ products or services, and you will not make any claims that are not backed up by evidence. You will also avoid disclosing any Confidential Information, disparaging White and Sons Custom Wood Creations or their products or services, or engaging in any communication that defames or infringes upon the intellectual property rights of others.
You will adhere to the posted policies, guidelines, and terms of use on any platform on which you post content on behalf of White and Sons Custom Wood Creations, understanding that these platforms’ disclosure requirements about any connection to White and Sons Custom Wood Creations may not necessarily satisfy FTC disclosure requirements.
You will not create fake followers or engagement on social media platforms, such as buying followers or using bots to automate account activities. You will not post fake sponsored content.
You must clearly and conspicuously disclose the “material connection” with White and Sons Custom Wood Creations, indicating that you are a paid affiliate and have received compensation. This disclosure should be placed in plain sight in close proximity to any audio or visual communications you make about White and Sons Custom Wood Creations, their brand, or their products. It should not be buried in a link or hidden among a string of hashtags or other disclosures.
Posts should make only factual statements about White and Sons Custom Wood Creations and their products that can be verified. If provided, you may use verified factual statements from White and Sons Custom Wood Creations in your Posts.
Your Posts should be original and created solely by you, avoiding the use of intellectual property belonging to other parties, such as third-party music, photographs, artwork, trademarks, logos, or slogans.
Posts should not include any person or personally identifiable information about anyone other than you, unless you receive prior written approval from White and Sons Custom Wood Creations and have such persons at issue sign a release provided by White and Sons Custom Wood Creations.
Your Posts should comply with the rules of the applicable social media platforms and all provisions set forth in this Exhibit A.
